Private equity investors and boards need a practical way to determine whether ecommerce is creating durable enterprise value or masking operational risk.
The Board Ecommerce Health Check is a structured diagnostic for evaluating how well a consumer or marketplace business is managing the commercial, operational and governance risks embedded in ecommerce.
It is designed for board directors, operating partners, CEOs and senior executives who need to assess whether the company has the right metrics, decision rights and management discipline in place.
The Health Check examines six areas:
- Ecommerce economics: whether growth is profitable after advertising, fulfilment, marketplace fees, returns and other channel-specific costs.
- Channel concentration: whether the business is overly dependent on Amazon, another marketplace, paid media, a major retailer or a small number of traffic sources.
- Marketplace governance: whether pricing, assortment, inventory, unauthorized sellers and marketplace relationships are being actively managed.
- Board metrics: whether directors receive the information needed to distinguish healthy growth from revenue that carries hidden risk.
- Operating ownership: whether management has clear accountability for ecommerce decisions across sales, marketing, finance, operations and technology.
- Strategic resilience: whether the company can withstand changes in marketplace algorithms, advertising economics, channel policies, competitors or consumer behaviour.
The Health Check can be used during board reviews, annual planning, private equity due diligence, post-acquisition value creation planning or preparation for an eventual sale.
The objective is not to produce another ecommerce scorecard. It is to identify where ecommerce performance depends on assumptions, concentrations or operating practices that deserve board-level attention.
